TERMS OF SERVICE AND INTELLECTUAL PROPERTY NOTICE

1.1 All creative concepts, visual materials, storyboards, scripts, designs, motion proposals, written content, image prompts, digital assets, and any associated intellectual property (collectively referred to as "Materials") presented by ZKO Creative Ltd ("ZKO") are and shall remain the sole and exclusive property of ZKO.

1.2 These Materials are protected under applicable copyright, design, and intellectual property laws in the United Kingdom and internationally.

1.3 No ownership rights, licenses, or usage permissions are transferred to any other party unless expressly agreed to in writing and signed by an authorized representative of ZKO.

2.1 The Materials are provided solely for review and evaluation purposes in connection with the Gulfood 2026 concept presentation and related discussions with Dubai World Trade Centre and its authorized representatives ("Client").

2.2 The Client is granted a limited, non-transferable, revocable right to view and evaluate the Materials internally for the purpose of considering a potential engagement with ZKO.

2.3 No part of the Materials may be copied, shared, disclosed, modified, distributed, or used — in whole or in part — outside of the evaluation process without prior written consent from ZKO.

3.1 The Client, its affiliates, or any third parties shall not directly or indirectly reproduce, adapt, develop, or execute any concept, campaign, or creative work derived from, or materially similar to, the Materials without ZKO's prior written authorization.

3.2 Unauthorized use or reproduction of the Materials constitutes a breach of copyright and may result in legal action for damages, injunctive relief, and recovery of costs, including attorney's fees.

4.1 The Materials and all accompanying information are considered Confidential Information and are disclosed solely for the limited purpose of project evaluation.

4.2 The Client shall not disclose or provide access to these Materials to any third party without ZKO's prior written consent.

4.3 The Client shall use reasonable measures to protect the confidentiality and proprietary nature of the Materials.

5.1 Presentation or disclosure of these Materials does not obligate either party to enter into a commercial relationship, agreement, or contract.

5.2 All proposals and concepts remain the intellectual property of ZKO unless and until a formal agreement is executed and payment terms are fulfilled.

6.1 These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales.

6.2 Any disputes arising under or in connection with this document shall be subject to the exclusive jurisdiction of the courts of England and Wales.
